Terms and Conditions

These Terms and Conditions (“Terms”) constitute the terms under which the specific Services are offered by [UK Clothing and UK Clothing Europe] (“we”, “us” or “our”). We value our relationship with our business partners, third parties with whom we have a contract, and any party who purchases/intends to purchase/inquire about any products and/or services made available by us through any of our customer interface channels including our websites, mobile sites (collectively “Websites”), mobile app (“App”) (for the sake of convenience, our customer interface channels including the Websites and App are herein referred to as “Platforms”). By using our Platforms, you also agree to be bound by these Terms, as may be applicable to you. You are therefore advised to carefully read and understand the Terms.

Any breach of the provisions contained in the Terms of Service shall be deemed to be a breach of the agreement between you, as customer and us.

1. General:

• Our Platform is an Internet based content and e-commerce portal owned and operated by entity incorporated under the laws of India and the Netherlands.

• Use of the Platform is offered to you conditioned on acceptance without modification of all the terms, conditions and notices contained in these Terms, as may be posted on the Platform from time to time. We at our sole discretion reserve the right not to accept any user from registering on or using our Platform or purchase our Products without assigning any reason thereof.

• Each of the Product listed on the Platforms may have specific terms and conditions associated with it. Therefore, you are advised to carefully read through the description and specifications mentioned under each of the Products prior to purchasing the same.

2. Your Responsibilities:

• You will receive a password and account designation upon completing the registration process on our Platform. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 2.1.

• You agree to provide accurate and complete contact information at the time of purchase of the Product to enable us to deliver the Products at the correct location.

• We provide several Internet-based services through our Platforms (all such services, collectively, the “Service”). The Products can be purchased through the Platforms through various methods of payments offered. The purchase of products shall be additionally governed by specific policies of sale, like cancellation policy, return and refund policy, shipping policy, etc. and all of which are incorporated here by reference. In addition, these terms and policies may be further supplemented by Product specific conditions, which may be displayed on the webpage of that Product.

• You agree and undertake not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information obtained from the Platform. For the removal of doubt, it is clarified that unlimited or wholesale reproduction, copying of the content for commercial or non-commercial purposes and unwarranted modification of data and information within the content of the Platform is not permitted.

• You further agree and undertake not to reverse-engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platforms. You shall not engage in any actions that could damage or adversely affect the performance or proper functioning of the Platforms.

• We will make our best endeavours to ensure that the content on the Platforms is free of any virus or such other malware. However, any data or information downloaded or otherwise obtained by using the Platforms is done entirely at your own discretion and risk, and you will be solely responsible for any damage to your computer systems or loss of data that may result from the download of such data or information.

• You shall not perform any of the following activities to ensure the safety of other users of the Platforms

• Making available any information that is misleading, unlawful, harmful, threatening, abusive, torturous, defamatory, libelous, vulgar, obscene, child-pornographic, lewd, lascivious, profane, invasive of another’s privacy, hateful or racially, ethnically, or otherwise objectionable.
• Stalking, intimidating and/or harassing another and/or inciting another to commit violence.
• Transmitting material that encourages anyone to commit an offence that results in civil/criminal liability or otherwise breaches any relevant laws, regulations, or code of practice.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
• Making, transmitting, or storing electronic copies of materials protected by copyright without the permission of the concerned owner, committing any act that amounts to infringement of intellectual property or making available any material that infringes any intellectual property rights or other proprietary rights of anyone else.
• Intentionally or unintentionally interfere with or disrupt the services or violate any applicable laws related to the access to or use of the Platforms and Services, violate any requirements, procedures, policies, or regulations of networks connected to the Platforms and Services, or engage in any activity prohibited by this Agreement.
• Upload, publish, transmit, store, update or share any information on the Platforms that:
  1. threatens the unity, integrity, defence, security, sovereignty of India and the Netherlands, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting other nation;
  2. contains software virus or any other computer code, file, or program designed to interrupt, destroy or limit the functionality of the Platforms;

• is harmful to children; or

is patently false and untrue and is written or published with the intent to mislead or harass a person, entity, or agency for financial gain or to cause injury to any person.

3. FEEDBACK SERVICES:

• The Platforms may allow you to interact with us through services such as email, chatbot, feedback form, or to post information in the form of reviews in relation to your purchase of Product and/or use of Services (“Feedback Service”). You agree and undertake to use the Feedback Service only to post such information as is proper and relevant to the Feedback Service.

• We reserve the right to review any materials or information posted through the Feedback Service and to remove any of it at our sole discretion.
• We further reserve the right, always, to disclose any information as is necessary to satisfy or comply with any applicable law, regulation, legal process or governmental request, or to edit, refuse or to post or to remove any information or materials, wholly or in part, at our sole discretion.
• We do not control or endorse the content found in any Feedback Service and therefore specifically disclaim any liability or responsibility whatsoever regarding the content present in Feedback Service and any actions resulting from your participation in any Feedback Service.

We do not have any control over the Third-Party Sites and are not responsible for any of the content present on such Third-Party Sites, including but not limited to any link contained in such sites. We are not responsible for the content of the third-party sites, and we do not make any representations regarding the accuracy of material on such sites. Should you decide to access the link to any Third-Party Sites, you do so entirely at your own risk.

• References to the Third Party Sites are provided solely as a convenience to you and the inclusion of links to such sites on the Platform does not in any way constitute or imply an endorsement, sponsorship or recommendation by us, of contents, services, facilities provided by such Third Party Sites, or any association with its operators or owners including the legal heirs or assigns thereof.

• We are not responsible for any errors, omissions or representations on the Third-Party Sites. We do not endorse any advertiser on any Third-Party Sites in any manner. You are encouraged to verify the accuracy of all information on your own and exercise diligence prior to interacting with the Third-Party Sites or undertaking any reliance on the information contained therein.

5. DISCLAIMER:

• We hereby disclaim any guarantees of exactness as to the finish and appearance of the final Product as ordered by the user. The quality of any products, Services, information, or other material purchased or obtained by you through the Platform might depend on the size you ordered for. Also, the product images displayed on our website are for illustrative purposes only. While we strive to accurately represent the colours and details of our products, please note that actual products may differ slightly in colour, design, or appearance. We make every effort to ensure that the product descriptions, sizes, and other information are accurate, but slight variations may occur. The colour variations can occur due to factors such as lighting, screen resolution, and display settings and may vary as those compared to the one on the website, which could only be because of the screen settings on your website.

• We have endeavoured to ensure that all the information on the Platform is correct, but we neither warrant nor make any representations regarding the quality, accuracy or completeness of any data, information, product or Service. You acknowledge and agree that you shall not use, reproduce or distribute any content from the Platform belonging to us without obtaining authorization from us.

7. INDEMNIFICATION:

7.1.  You agree to indemnify, defend and hold harmless us from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by us that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms.

8. PRICING:

8.1.  Prices for products are described on our Platform and are incorporated into these Terms by reference. All prices are in Indian rupees, Euros and can also be converted into other currencies using the currency conversion tools. Prices, products and Services may change at our discretion.

9. SHIPPING:

• Title and risk of loss for all products ordered by you shall pass on to you upon our shipment to the shipping carrier. Shipping charges may differ according to location of deliver and weight of the item/s to be shipped. For more information, please read carefully our shipping policy.

10. TERMINATION OF THE AGREEMENT:

• This Agreement shall subsist and remain effective unless and until terminated either by us or you, with or without cause at any time.

• Without prejudice to the foregoing, we may also terminate your access to the Platforms and/or Services, without notice, for reasons including: (a) breach of this Agreement or any of the Terms by you; (b) requests by enforcement or government agencies.

• Notwithstanding the above, these Terms will survive indefinitely unless and until we choose to terminate them.

• Upon termination, we may delete any content or other materials relating to your use of the Service and we will have no liability to you or any third party for doing so.

• You shall be liable to pay for any Service or product that you have already ordered till the time of Termination by either party whatsoever.

By using the Platforms, you agree to the terms of the Privacy Policy and accordingly consent to the use of your personal information by us and its affiliates in accordance with the terms of the Privacy Policy. 12. GOVERNING LAW

• These terms shall be governed by and constructed in accordance with the laws of India and the Netherlands without reference to conflict of laws principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts at India and the Netherlands.
